{"id":13396,"date":"2026-06-29T11:18:23","date_gmt":"2026-06-29T09:18:23","guid":{"rendered":"https:\/\/orsingher.com\/?p=13396"},"modified":"2026-06-29T11:44:42","modified_gmt":"2026-06-29T09:44:42","slug":"corporate-the-italian-supreme-court-on-the-application-of-shareholders-loan-subordination-rules-to-unpaid-rent-claims","status":"publish","type":"post","link":"https:\/\/orsingher.com\/it\/corporate-the-italian-supreme-court-on-the-application-of-shareholders-loan-subordination-rules-to-unpaid-rent-claims\/","title":{"rendered":"CORPORATE | The Italian Supreme Court on the application of shareholders\u2019 loan subordination rules to unpaid rent claims"},"content":{"rendered":"<p>On 11 May 2026, the Italian Supreme Court issued its <a href=\"https:\/\/www.italgiure.giustizia.it\/xway\/application\/nif\/clean\/hc.dll?verbo=attach&amp;db=snciv&amp;id=.\/20260511\/snciv@s10@a2026@n13672@tO.clean.pdf\" target=\"_blank\" rel=\"noopener\">ordinance No. 13672<\/a> addressing the application of the rules on the subordination of shareholders\u2019 loans to a claim brought by a shareholder against the company for unpaid rent.<\/p>\n<p>The Court clarified that\u00a0\u2013\u00a0as the notion of shareholders\u2019 loans under Article 2467 of the Italian Civil Code is not limited to credit agreements\u00a0in strict sense\u00a0\u2013\u00a0the lease of a property by a shareholder to the company may also fall within its scope where, due to the non-collection of rent, the shareholder provides the company with a voluntary and economically useful contribution.\u00a0In such circumstances, the company is effectively allowed to defer bearing a cost that it would otherwise have had to meet\u00a0immediately.<\/p>\n<p>The Court further confirmed that the subordination\u00a0regime\u00a0under\u00a0<a href=\"https:\/\/www.brocardi.it\/codice-civile\/libro-quinto\/titolo-v\/capo-vii\/sezione-ii\/art2467.html\" target=\"_blank\" rel=\"noopener\">Article 2467 of the Italian Civil Code<\/a>\u00a0operates\u00a0not only in the context of insolvency proceedings, but also during the ordinary life of the company,\u00a0given rise to\u00a0a legal and temporary unenforceability of the shareholder\u2019s right to repayment until the relevant equity or financial imbalance mentioned under said Article ceases to exist.
