CORPORATE | The Italian Supreme Court on Shareholders’ Withdrawal Rights

The Italian Supreme Court, with Judgment No. 30133 of 14 November 2025 has clarified the conditions under which shareholders may exercise the right to withdraw from a joint-stock company. If a shareholder resolution constitutes a single, standalone decision, the withdrawal right is available to shareholders who were absent, opposed, or abstained. Conversely, when the resolution represents the final step of a broader, multi-stage corporate transaction (such as a merger) whose outcome was predetermined from the outset, a shareholder who has previously agreed to any essential phase of that process cannot later claim the right to withdraw. Such prior consent therefore precludes the exercise of the withdrawal right, ensuring continuity and certainty in complex corporate operations.
