CORPORATE | Italian court on former directors’ right to information and access to corporate documents

On 5 February 2025, the Court of Bologna issued its ordinance in proceedings R.G. No. 10972/2024, concerning the request from two former non-executive directors who had sought urgent relief to obtain access to an extensive set of corporate, accounting and tax records.

According to the Court, directors’ right to receive information and inspect corporate documents is autonomous from the control right granted to quotaholders under Article 2476.2 of the Italian Civil Code and therefore ceases when the directorship ends (unless they are also quotaholders). Accordingly, as the claimants had ceased to hold office and had never been quotaholders, the Court ultimately dismissed their application.
