CORPORATE | New rules on certified registered email (PEC) for company directors

Articles 13.3 and 4, of Law Decree No. 159 of 31 October 2025 (Decreto Sicurezza or Law Decree) – implementing Law no. 207 of 30 December 2024 (Legge di Bilancio) – introduce specific rules on the obligation for company directors to register their digital domicile (certified e-mail address, PEC) with the Companies Register. Previously applicable to all company directors, the obligation now concerns only (a) the sole director (amministratore unico), (b) the managing director (amministratore delegato) or, in their absence, (v) the chairman of the board of directors (each, a Concerned Director).

The Law Decree expressly provides that the Concerned Directors’ PEC cannot be the same as the company’s PEC, and that existing companies must communicate the Concerned Directors’ PECs to the relevant Companies Register by 31 December 2025, and, in any case, at the time of any new appointment or renewal of office.

The Law Decree provides for the application of administrative penalties in the event of failure to comply with the obligations indicated therein.
