CORPORATE | Milan Notarial Council releases new Corporate Guideline on procedures for convening members’ meetings in Third Sector entities

On 4 March 2025, the Notarial Council of Milan issued its Guideline No. 19/2025 clarifying the rules for convening members’ meetings in Third Sector Entities (TSE). Specifically, the Council confirmed that Article 8 of the Implementing Provisions of the Italian Civil Code – which provides that “meetings of members of associations shall be convened according to the procedure set forth in the by-laws or, in the absence thereof, by personal notice indicating the meeting’s agenda” – applies not only to associations, but also to all non-profit organisations that convene members’ meetings. Accordingly, Article 8 is considered applicable to all TSEs that hold members’ meetings, since Legislative Decree No. 117 of 3 July 2017 (the Third Sector Code) does not set out specific procedures for convening such meetings and explicitly refers to the Italian Civil Code for all matters not expressly regulated by the Code.
