CORPORATE | Emergency regulations on corporate compliance extended to 31 December 2025

Law No. 15 of 21 February 2025 converted with amendments the Law Decree No. 202 of 27 Decembre 2024 (so-called Decreto Milleproroghe) and further extended the provisions on shareholders’ meetings set forth by Article 106 of  Law Decree No. 18 of 17 March 2020 (the Emergency Legislation) until 31 December 2025. In particular, Article 106 provides, also by way of derogation of companies’ bylaws, for the possibility of (a) holding shareholders’ meetings exclusively by means of telecommunication, without the need for chairman, secretary or notary public to be in the same place, (b) attending the meeting remotely and voting by correspondence or by electronic means, and (c) with reference to listed companies, granting proxies to a designated representative pursuant to Article 135-undecies of Legislative Decree No. 58 of 24 February 1998.
