CAPITAL MARKETS | Consob’s FAQs on Prospectuses published

On 7 June 2024, Consob published its FAQs containing guidelines on the preparation of the prospetto informativo (the “Prospectus”) and the process for the relevant approval by Consob, clarifying the interpretation of the current regulatory framework (Regulation (EU) No. 2017/1129, the Prospectus Regulation, and Delegated Regulations No. 2019/979 and No. 2019/98). In particular, the FAQs provide a thorough overview including, inter alia, (a) criteria for identifying the cases in which the Prospectus is required; (b) contact details for liaising with Consob or the European Securities and Market Authority (ESMA) prior to or after the submission of the Prospectus; (c) the structure of the Prospectus and its filing; (d) the process followed by Consob for approving the Prospectus; and (e) the publication of the Prospectus and the rules on its efficacy.
