ANTITRUST | AGCM on a concentration between two major players of the natural gas sector

On 11 March 2025, the Italian Competition Authority (“AGCM”) approved with commitments the acquisition of 2i Rete Gas S.p.A. by Italgas S.p.A., two Italian market leaders in the natural gas distribution sector. According to AGCM, the concentration could have distorted the market dynamics in the context of future tenders to identify the concessionaires of the gas distribution service in more than sixty Italian territorial areas (so-called ATEMs). Following the proceedings, AGCM, among others, imposed on Italgas S.p.A. to divest in several ATEMs of (a) a percentage of the delivery points managed under the existing concessions and (b) a quota subject to the Concentration, in accordance with the specific methods and timeline set out in the Decision and under the supervision of a monitoring trustee approved by the ICA.
