Our law firm specializes in corporate and commercial law with a specific focus on corporate finance transactions and corporate reorganisations/restructuring. Our ability to add value for our clients in these fields is driven by our experience and competences in three key areas:

- Strategic transactions
We appreciate the strategic drivers of a given transaction and aim to align the delivery of our service with the achievement of the client’s objectives.
- Multi-jurisdictional expertise
All of our clients work increasingly on a cross-border basis and our track record on deals involving a vast number of different jurisdictions puts us in a position to add real value.
- Deal counsel role
Clients want the management of all elements of a deal to be as streamlined and efficient as possible, and we have built up a significant track record acting as “deal counsel”, managing coordinating the input of counsel in other jurisdictions and liaising with financial and other advisers. Our experience of managing deals in this way includes assisting Italian clients on numerous transactions outside Italy.

Our primary practice areas in corporate and commercial law are:

- Public and private M&A
We have advised buyers, sellers and financial advisers on many of the most significant M&A transactions in the Italian market in recent years, as well as assisting major Italian clients on international deals. Our expertise and knowledge of market practice in key jurisdictions provide our clients with a real competitive advantage.
- Private equity
Our experience has allowed us to appreciate the importance to PE clients of efficient and successful deal execution, in a sector characterised by strong competition for attractive assets. We are familiar with all the major deal factors, including consortium and co-investment arrangements, management equity, structuring finance effectively and achieving successful exits through trade sales or IPOs.
- Joint ventures and strategic alliances
These are an integral part of our practice, whether related to a single, strategic project or as part of a wider reorganisation of a clients business. Their benefits include the ability to combine complementary skills and technologies, and facilitate entry into new markets.
- Corporate reorganisations/restructuring
With clients placing increasing focus on their core businesses, we are seeing an increasing rationalisation of corporate groups, whether through amalgamation, spin-off or carve-out. These transactions are often complex to manage, giving rise to significant separation issues and the need to negotiate and manage transitional service arrangements.
-Corporate/commercial litigation
Our view is that our role does not stop once a transaction is completed or a contract signed and we offer all our clients a seamless service which extends to the resolution of disputes (by negotiation, arbitration or litigation) that may arise.

- Automotive
Our experience in this sector has benefited a number of major auto manufacturers on mergers & acquisitions and joint ventures, alongside assisting them as they cope with the changing structure of the industry.
- Energy & utilities
Italy, like all other EU jurisdictions, has implemented significant regulatory change in these sectors and we have assisted a number of key players in the Italian market in managing these changes.
- Financial institutions
We have been very active in advising both Italian and international clients (state investment groups, investment and retail banks, insurers and stock exchanges) on numerous domestic and cross-border matters.
- Oil & gas
We have advised leading competitors in these markets on complex transactions in both upstream and downstream businesses, including deals with international project financing.
- TMT
The synergies with our IP colleagues in this sector will enable us to extend our track record of major deals in areas including media, advertising and recorded music.
